The Vice President, General Counsel and Secretary, is the chief legal officer of the Company and provides expert, business-focused legal counsel, and strategic legal services of the highest possible standard to the CEO, leadership teams, and Boards of Directors. The General Counsel oversees all legal matters for the Company, including commercial transactions and contracts, litigation management, corporate governance, and regulatory legal support. The General Counsel leads and ensures effective management and professional development of the Company’s Legal team, including its staff and resources, to ensure the Company is provided with expert and strategic legal advice, as well as setting internal governance policies. The General Counsel works closely with other senior executives of the BMT and Bracco affiliates to ensure effective communication and information flow that facilitates effective decision-making and enables BMT to deliver corporate objectives. Reporting directly to the CEO of BMT, with a dotted line reporting structure to the Global Headquarters Legal leadership, the General Counsel also collaborates with global legal and compliance counterparts to ensure alignment with the Company’s overall legal and risk posture. Main Responsibilities, Activities, Duties and Tasks
Participate with executive leadership in strategy execution, operational excellence initiatives, and general leadership of the business.
Legal • Serve as the primary legal advisor to the CEO, Executive Committee, leadership teams, and Boards of Directors, delivering pragmatic, strategic, and business-focused legal advice across all functions. • Lead the identification, assessment, escalation, and mitigation of enterprise legal risks, including commercial, regulatory, compliance, litigation, governance, reputational, operational, and strategic risks. • Oversee, draft, review, negotiate, and advise on complex commercial and strategic agreements, including customer, vendor, supply, distribution, service, consulting, clinical, software, confidentiality, evaluation, and strategic transaction agreements. • Develop and maintain contract templates, playbooks, SOPs, intake processes, escalation standards, and legal risk frameworks to improve consistency, efficiency, compliance, and business alignment. • Advise on healthcare regulatory and commercial compliance matters, including evaluation/demo equipment placements, customer acknowledgments, healthcare professional interactions, rebate/pricing structures, promotional review, scientific communications, and related legal controls. • Coordinate litigation, disputes, investigations, threatened claims, privileged reviews, preservation obligations, settlement strategy, and external counsel management. • Provide legal support for product launch, advertising and promotion, medical-device regulatory issues, AI governance, cybersecurity, privacy-adjacent issues, trade secrets, and other emerging legal risks. • Develop and deliver legal training and practical tools for business stakeholders, including training on contract process, healthcare compliance, regulatory risk, and legal escalation expectations. • Manage Legal department resources, budget, outside counsel, legal operations, team structure, staffing, performance expectations, and professional development.
Governance/ Company Secretary • Advise the Boards of Directors, CEO, Executive Committee, and management on corporate governance best practices, fiduciary considerations, delegated authority, decision rights, and legally defensible governance processes. • Support Board and committee operations, including agendas, meeting materials, minutes, resolutions, written actions, officer appointments, entity records, and corporate approvals. • Maintain and continuously improve governance frameworks that promote clear decision-making, appropriate escalation, effective information flow, and reliable documentation of corporate actions. • Coordinate with Finance, Global Legal, Compliance, and business stakeholders on delegations of authority, corporate housekeeping, entity-management documentation, and governance controls. • Provide strategic governance and legal compliance support for corporate initiatives, operational reviews, risk assessments, leadership transitions, and other matters requiring executive or Board-level oversight.
Qualifications (Knowledge, Skills & Abilities): Minimum • Juris Doctor (JD) from an accredited law school • Admitted to practice law by the Minnesota State Bar Association in the State of Minnesota. • 12+ years’ legal experience, including significant experience within experience in the medical device, life sciences, healthcare or other closely related industry. • Proven and seasoned legal leader with experience leading legal functions, driving organizational change, and supporting business growth through strategic legal counsel. • Demonstrated expertise and commercial contracting and providing practical, business-oriented legal advice across a broad range of commercial and operational matters. • Strong ability to work independently, exercise sound judgement, manage competing priorities, and effectively navigate complex legal and business issues with minimal supervision.
