About the Role
BILL is a mature public company (NYSE: BILL) with an equity program that includes RSUs, PSUs, an Employee Stock Purchase Plan (ESPP), and outstanding stock options (exercises only; no new option grants). We are looking for a Stock Plan Administrator to own the day-to-day administration of our equity programs on Morgan Stanley E*TRADE Equity Edge Online (EEO). Reporting to the Stock Administration Manager, you will manage the full equity lifecycle — grants, vesting and releases, option exercises, ESPP purchases, terminations, and mobility events — while operating within a well-established SOX control environment and partnering closely with Payroll, Legal, HR, Compensation, Accounting, and Financial Reporting.
What You’ll Do
Equity Transaction Processing
• Administer all equity plan activity in Equity Edge Online (EEO): process RSU/PSU grants, export grants and online grant agreements to participant E*TRADE accounts, and communicate new grants to employees.
• Process daily stock option exercises (same-day sale, sell-to-cover, and cash), including 10b5-1 plan transactions through Morgan Stanley and E*TRADE, and confirm receipt of cash proceeds and tax withholding.
• Manage RSU and PSU releases end to end: pre-release tax and income reconciliations with Payroll (EEO vs. Workday), sandbox validation of tax files, release approval files, share settlement via withhold-to-cover, and post-release reporting to Payroll and Accounting.
• Administer the ESPP: enrollment, contribution tracking and IRS $25K/share-limit monitoring, semi-annual purchases, refunds, valuation/true-up support, and monthly reconciliation of the ESPP tracker to the general ledger.
• Process terminations, leaves of absence, and rehires — enter termination dates in EEO, generate and deliver closing statements, suspend/adjust vesting for qualifying LOAs, and reconcile termination data to HR records.
• Initiate share issuance and transfers through Computershare (DWAC/iCart), maintain the DWAC control log, and support reconciliation of transfer agent activity.
Reconciliations, Reporting & SOX Compliance
• Execute and document SOX key controls over the equity cycle, including grant input reviews, release reconciliations, cash/bank reconciliations of exercise and release proceeds, and ESPP-to-GL reconciliations; support internal and external audit walkthroughs and testing.
• Prepare monthly stock-based compensation reporting support (ASC 718), including expense reports, journal entry support. Assist with the preparation flux analysis.
• Deliver recurring reports to Payroll (domestic and international), Tax, Accounting, and Financial Reporting, including W-2 income for ISO/ESPP dispositions, 1099-NEC income, Section 6039 reporting (Forms 3921/3922), and annual director statements.
• Support quarterly SOC 1 report evaluations, and quarter-end/year-end close deliverables (EPS support, 10-Q/10-K share data, evergreen increases, and S-8 support).
Compliance & Employee Experience
• Administer insider trading compliance processes: trading window blackouts, preclearance for Access Persons and Section 16 officers, and 10b5-1 plan setup, review, and termination in partnership with Legal.
• Serve as a primary point of contact for employee equity questions via the stock administration inbox and Jira, delivering clear, accurate, and timely responses.
• Identify and drive process improvements, automation, and documentation updates to desktop procedures.
What We’re Looking For
• CEP Level 1 (Equity Compensation Associate / ECA) required; full CEP designation a strong plus.
• 3+ years of progressive stock administration experience at a public company, with hands-on ownership of RSUs, PSUs, ESPP, and stock option exercises.
• Equity Edge Online (EEO) knowledge required, including reporting, imports/exports, and release processing.
• Excellent Excel skills (pivot tables, lookups, large data reconciliations) with strong attention to detail and accuracy.
• Excellent verbal and written communication skills; able to present webinars and explain complex equity topics clearly to employees at all levels and partner effectively across Payroll, Legal, HR, Compensation, and Accounting.
• Working knowledge of SOX controls and experience supporting internal/external audits.
• Solid understanding of equity taxation (RSU/PSU withholding, ISO/NQ exercises, ESPP qualifying and disqualifying dispositions) and related payroll reporting.
• Familiarity with transfer agent processes (Computershare, DWAC), 10b5-1 plans, Section 16 and insider trading compliance preferred.
• Experience with Workday, NetSuite, and ASC 718 stock-based compensation a plus.
