ROLE DESCRIPTION

As Form Energy enters its next phase of growth, we seek a talented and experienced hands-on attorney to build and lead our corporate compliance function. You will have primary responsibility for developing and maintaining Form Energy's compliance programs across securities law, regulatory obligations, government contracting, and corporate governance.

You will play a central role in scaling legal and compliance support as Form Energy grows. The ideal candidate will be a skilled communicator possessing strong attention to detail, energized by a wide array of compliance and governance issues in a fast-paced environment.

This is a hybrid role, which will require working onsite from our Berkeley, CA or Somerville, MA office 3 days per week.

WHAT YOU'LL DO:

- Build and lead Form Energy's corporate compliance program, including development and implementation of policies, procedures, training, and monitoring across the organization.

- Serve as the primary legal point of contact for compliance matters relating to securities law, corporate governance, and public company reporting obligations.

- Manage and administer the company's insider trading compliance program, including pre-clearance procedures, blackout periods, and training for officers, directors, and other covered persons.

- Support the company's obligations under its government contracts and grant agreements, including compliance with DOE cooperative agreement requirements and other federal and state regulatory obligations applicable to Form Energy's manufacturing and commercial operations.

- Advise on environmental, health, and safety regulatory compliance matters in coordination with the Operations and Manufacturing teams, including OSHA, EPA, and applicable state regulatory requirements.

- Partner with the Finance and Accounting teams on SOX compliance, disclosure controls, and internal controls over financial reporting.

- Develop and deliver compliance training programs across the organization, including for new employees, executives, and members of the Board of Directors.

- Monitor regulatory developments affecting Form Energy's business, including changes to securities laws, energy regulations, government contracting requirements, and environmental rules, and advise the legal team and business accordingly.

- Manage relationships with outside counsel on compliance-related matters and coordinate with the company's auditors and other third-party advisors.

- Support the company's ESG disclosure and sustainability reporting efforts in coordination with relevant business teams.

- Perform special projects and other legal responsibilities as assigned by the General Counsel to meet the company's business needs.

WHAT YOU'LL BRING:

- A minimum of 10 years of relevant experience, which can consist of a combination of working at a top-ranked law firm and/or in-house legal or compliance department.

- Substantive experience in corporate compliance, securities law, and/or regulatory matters, including direct experience with public company compliance obligations.

- Familiarity with SEC reporting requirements, insider trading regulations, SOX compliance, and corporate governance best practices.

- Experience with government contracts, grants, or regulatory compliance in an energy, manufacturing, or infrastructure context is a strong plus.

- Previous in-house experience required; experience supporting or building a compliance function from scratch is highly valued.

- JD from an accredited law school and active membership in at least one state Bar.

- Can-do attitude, a sense of ownership, and dedication to excellent client service.

- High emotional intelligence, excellent written and oral communication skills.

- Sound practical and business judgment with a focus on effectively minimizing risks while achieving key business objectives.

- Proven track record of learning quickly, taking initiative, working proactively and collaboratively, being resourceful, and taking on additional responsibility as the need arises.

- Able to navigate ambiguity and develop creative and pragmatic solutions for complex and evolving issues in a rapidly changing environment.

- Consistently good judgment, an unmatched work ethic, impeccable integrity, and a team-first attitude.
